CSR-1 Filing

The Ministry of Corporate Affairs (MCA) told companies that do Corporate Social Responsibility (CSR) that they need to file eForm CSR-1 by April 1, 2021, for all their CSR projects. Before engaging in CSR activities funded by businesses and corporations, NGOs must register with the Central Government. This registration ensures effective monitoring of the country’s CSR spending.

Legally, companies participating in corporate social responsibility (CSR) initiatives must submit Form CSR-1 to the Central Government for filing. Section 135 of the Companies Act, 2013 (the “Act”) as well as the Companies (Corporate Social Responsibility Policy) Amendment Rules, 2021 (the “Rules”) both make this clear.

Applicability of Form CSR-1

The board of the company is required to make sure that the company complies with regulations regarding its CSR activities. This is achieved by:

  • The company can incorporate a registered society, a registered public trust, a Section 8 company, or an establishment under Section 12A and 80G of the Income Tax Act, 1961.
  • Under Section 8 of the Act, a registered society or registered trust is established as a corporation by the Central or State Government.
  • The entities created by a State Legislature or a Parliamentary Act.
  • A Section 8 company, a registered society, a registered public trust, or a company registered under Section 12A and 80G of the Income Tax Act must have an established a minimum of three years’ experience carrying out similar activities.

Therefore, a company can choose to participate in a corporate social responsibility (CSR) initiative either on its own or through a registered society, public trust, NGO, or company under Section 8. Registration with the Registrar of Companies necessitates the electronic submission of the Form CSR-1 by all entities mentioned above and the company that intends to engage in a CSR activity.

Contents of Form CSR-1

To receive corporate social responsibility (CSR) funding and participate in CSR activities, entities register on Form CSR-1. Fill out Form CSR-1 with the following details:

  • The entity’s nature.
  • PAN of the entity. 
  • The entity’s CIN number serves as its registration number.
  • Date of incorporation, address, and email ID of the entity. 
  • Details of the directors, chairman, board of trustees, secretary, CEO, or authorized representatives of the entity. 
  • The signing DIN (Director Identification Number) and DSC (Digital Signature Certificate) of the director are required.
  • A practicing professional will provide certification.

Documents Required for Form CSR-1

  • Copy of the 12A and 80G exemption certificates, if applicable. 
  • The form bears the signature of the authorized individual.
  • Copy of the PAN card. 
  • Copy of the registration certificate of the entity. 
  • NGO Darpan ID, if applicable. 
  • Details of the subsidiary and other entities.
  • The PAN belongs to the authorized individual who is signing the form.
  • Company CSR policy. 
  • The company’s CSR report.

Process of Form CSR-1 Filing

The procedure for enrolling the implementing authority on the MCA site is outlined in the rules:

  • The applicant must navigate to the ‘MCA Services’ tab on the MCA portal.
  • Choose the option ‘e-Filing’ and click on the ‘Company Forms Download’ option. 
  • To download the form, scroll down the page to the ‘Incorporation Services’ heading and click on the ‘Form CSR-1’ under the ‘e-Form’ row.
  • You will download Form CSR-1 in a zip folder.
  • Open the zip folder named ‘Form_CSR-1’ as well as extract the ‘Form_CSR-1’ pdf form. 
  • After extracting the pdf from CSR-1, open it and fill it out. 
  • In practice, a Chartered Accountant (CA), Company Secretary (CS), or Cost Accountant (CA) must digitally verify the eForm CSR-1.
  • Submit the Form CSR-1 on the portal by a CA, CS, or cost accountant; submit the Form CSR-1 on the portal. 
  • The system will automatically generate a unique CSR Registration Number upon submission of the form.
